Welcome to Arkilla. The terms “we”, “us” and “our” refer to Arkilla. Arkilla operates this store and website, including all related information, content, features, tools, products and services, to provide you, the customer, with a curated shopping experience (the “Services”). Arkilla is powered by Shopify, which enables us to provide the Services to you.
These Terms of Service, together with our Privacy Policy, our Shipping & Delivery Policy and our Returns & Refunds Policy, describe your rights and responsibilities when you use the Services. Each of those policies is incorporated into and forms part of these Terms of Service. Please read them carefully, as they include important information about your legal rights, including warranty disclaimers and limitations of liability.
Acceptance of These Terms
By visiting, interacting with or using our Services, by ticking a box indicating your acceptance, or by placing an order, you agree to be bound by these Terms of Service and by our Privacy Policy, Shipping & Delivery Policy and Returns & Refunds Policy, each of which forms part of these Terms. When you indicate at checkout that you have read and agree to our Terms of Service, you are agreeing to all of these documents together. If you do not agree to all of them, you should not use the Services or place an order.
Your Consumer Rights
Arkilla is a New Zealand business. Nothing in these Terms of Service excludes, restricts or modifies any guarantee, right or remedy you have under the Consumer Guarantees Act 1993, the Fair Trading Act 1986, or any other consumer protection law that applies to you and cannot legally be excluded. We sell worldwide, and consumer laws differ from country to country; wherever you live, you may have additional rights under your local consumer laws, and we will comply with any such laws that apply to your purchase. Where you are buying as a consumer, these statutory rights apply in addition to these Terms, and if any part of these Terms is inconsistent with those rights, your statutory rights prevail. If you are acquiring goods for the purposes of a business, you agree that the Consumer Guarantees Act 1993 does not apply, to the extent permitted by law.
1. Eligibility and Account
By using our website and placing an order, you confirm that you are at least the age of majority in your place of residence, or that you have the consent of a parent or guardian. You are responsible for ensuring the information you provide is correct, current and complete, and for maintaining the security of any account credentials. You may not transfer, sell, assign or license your account to anyone else.
2. Products
We make reasonable efforts to ensure product descriptions, images, specifications and pricing are accurate. However, colours and appearance may vary depending on your device and display settings, packaging may differ from images shown, and minor variations may occur. Many of our products are sourced from international suppliers and fulfilment partners. We reserve the right to modify, discontinue or limit the availability of any product at any time without notice.
3. Orders
All orders are subject to acceptance and availability. When you place an order you are making an offer to purchase. We reserve the right to refuse or cancel any order, limit quantities, or request additional information before processing. An order is not accepted until we have successfully processed your payment and issued an order confirmation. If we cancel or change an order, we will try to notify you using the contact details you provided.
4. Pricing
All prices are displayed in the currency specified on our website and may change at any time without notice. The price that applies is the price shown at the time you place your order, as confirmed in your order confirmation. Unless stated otherwise, prices do not include taxes, shipping, handling, customs or import charges. In the event of a pricing error, we reserve the right to cancel the order and provide a full refund.
5. Payment
Payment must be made using one of the payment methods available on our website. By submitting payment information, you confirm that you are authorised to use the chosen payment method. We do not store full card details ourselves; payments are processed securely by our third-party payment providers.
6. Shipping and Delivery
Delivery timeframes are estimates only and are not guaranteed. Detailed delivery, customs and tracking terms are set out in our Shipping & Delivery Policy. Risk of loss and title to the products pass to you when the products are delivered to the shipping address you provided.
7. Returns and Refunds
Returns, exchanges and refunds are governed by our Returns & Refunds Policy, which forms part of these Terms. Nothing in that policy limits any rights you have under applicable consumer law.
8. Fulfilment Partners and Overseas Disclosure
To fulfil and deliver your order, we use third-party fulfilment partners and warehouses located overseas, including in China. This means that information such as your name, shipping address and contact details is shared with these partners and their delivery carriers so they can pack and ship your order to you. Because these partners are located outside New Zealand, they may not be subject to privacy laws that provide the same level of protection as the New Zealand Privacy Act 2020. By placing an order and providing your delivery details, you authorise this disclosure for the purpose of fulfilling and delivering your order. Further detail is set out in our Privacy Policy.
9. Product Use, Safety and Liability
You are responsible for using our products safely and lawfully, for reading and following any instructions, warnings, age recommendations or care information supplied with a product, and for determining whether a product is suitable for your intended use. Where a product is used by or around children, animals, pets or other people, you are responsible for appropriate supervision and for choosing a product suitable for the circumstances.
To the maximum extent permitted by law, we are not liable for any damage, injury, loss or harm — whether to people, animals, pets or property — arising from: misuse of a product; improper handling, assembly, installation or storage; use of a product for a purpose for which it was not designed or intended; failure to follow instructions, warnings, age recommendations or supervision guidance; an allergic or sensitivity reaction where the relevant materials or ingredients have been disclosed; or normal wear and tear.
Nothing in this section limits or excludes any guarantee, right or remedy you have under the Consumer Guarantees Act 1993, the Fair Trading Act 1986, applicable product safety laws, or any other consumer protection law that cannot be excluded. Where a product is genuinely faulty, unsafe or not as described, your statutory rights and our Returns & Refunds Policy continue to apply.
10. Intellectual Property
Our Services, including all trademarks, brands, text, displays, images, graphics, reviews, video and audio, and the design, selection and arrangement of them, are owned by or licensed to Arkilla, its affiliates or licensors, and are protected by New Zealand and international intellectual property laws. These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store or transmit any material from the Services without our prior written consent. Arkilla’s names, logos and designs are our trademarks and may not be used without permission. Shopify’s name and logo are trademarks of Shopify. All other trademarks belong to their respective owners.
11. Optional Tools and Third-Party Links
You may be given access to third-party tools that we neither monitor nor control, provided “as is” and without warranty; your use of them is at your own risk. The Services may also contain links to third-party websites. We are not responsible for the content, products, policies or practices of third parties, and accessing them is at your own risk. Please review their terms and privacy policies before engaging with them.
12. Relationship with Shopify
Arkilla is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Arkilla. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Arkilla, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Arkilla.
13. Privacy
All personal information we collect through the Services is handled in accordance with our Privacy Policy, which forms part of these Terms. Because the Services are hosted by Shopify, certain information may also be subject to Shopify’s privacy policy. By using the Services, you acknowledge that you have read our Privacy Policy.
14. Feedback
If you submit ideas, suggestions, feedback, reviews or other content (“Feedback”), you grant us a perpetual, worldwide, royalty-free, sublicensable licence to use, reproduce, modify, publish, distribute and display it for any purpose, including commercial use. You represent that you own or have the rights to your Feedback, that it does not infringe anyone’s rights, and that it is not unlawful, defamatory, obscene or misleading. We are not obliged to keep Feedback confidential, pay for it, or respond to it, and we may remove Feedback we consider objectionable.
15. Errors, Inaccuracies and Omissions
Occasionally information on the Services may contain typographical errors, inaccuracies or omissions relating to descriptions, pricing, promotions, shipping charges, transit times or availability. We reserve the right to correct these and to change or update information or cancel orders if any information is inaccurate at any time without prior notice, including after you have submitted your order.
16. Prohibited Uses
You may use the Services for lawful purposes only. You must not use the Services for any unlawful or malicious purpose; to break any law or regulation; to infringe intellectual property rights; to harass, abuse or harm any person; to submit false or misleading information; to transmit spam or malware; to impersonate any person; to collect or track others’ personal information; to scrape or crawl the Services; or to interfere with or circumvent their security. We may suspend, disable or terminate your access if you breach these Terms.
17. Termination
We may terminate this agreement or your access to the Services at our discretion at any time, and you will remain liable for amounts due up to termination. Sections that by their nature should survive termination will continue to apply, including Your Consumer Rights, Product Use, Safety and Liability, Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and Privacy.
18. Disclaimer of Warranties
Except as expressly stated by us, and subject to your non-excludable consumer rights, the Services and all products offered through the Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, durability, title and non-infringement. We do not warrant that your use of the Services will be uninterrupted, timely, secure or error-free. Nothing in this section excludes, restricts or modifies any guarantee or right under the Consumer Guarantees Act 1993, the Fair Trading Act 1986 or any other law that cannot legally be excluded; where such a law applies, our liability is limited to the extent permitted by that law.
19. Limitation of Liability
To the fullest extent permitted by law, and subject to your non-excludable consumer rights, Arkilla and its partners, directors, officers, employees, affiliates, agents, contractors, service providers and licensors will not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue, savings or data, arising from your use of the Services or any products purchased through them. To the extent we may lawfully limit our liability, our total liability for any claim relating to a product or order will not exceed the amount you paid for the relevant product. Nothing in this section limits liability that cannot be limited by law, including liability under the Consumer Guarantees Act 1993 or for matters that cannot lawfully be excluded.
20. Indemnification
You agree to indemnify and hold harmless Arkilla, Shopify and our affiliates, officers, directors, employees, agents, contractors, licensors and service providers from any claims, losses, damages and liabilities, including reasonable legal fees, arising from your breach of these Terms, your violation of any law or third-party right, or your use of the Services.
21. Force Majeure
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, severe weather, internet or carrier outages, labour disputes, government actions, customs delays or supply chain disruptions.
22. General
If any provision of these Terms is found to be unlawful or unenforceable, it will be severed and the remaining provisions will continue in effect. Our failure to enforce any right or provision is not a waiver of it. These Terms, together with the policies referred to in them, are the entire agreement between you and us. You may not assign your rights or obligations without our consent; we may assign ours. Headings are for convenience only.
23. Changes to These Terms
We may update these Terms from time to time. The current version will always be available on our website. We will provide notice of material changes as required by applicable law, and changes take effect on the date specified. Your continued use of the Services after changes are posted constitutes acceptance of them.
24. Governing Law
These Terms of Service are governed by the laws of New Zealand, and disputes arising from them are subject to the non-exclusive jurisdiction of the New Zealand courts. If you are a consumer resident in another country, you may also have the benefit of mandatory consumer protections, and the right to bring proceedings, under the law of your country of residence; nothing in these Terms removes those protections.
